Gerard A. Champi was elected to the Board of Directors of FNCB Bancorp, Inc. (“Company”) and FNCB Bank on July 01, 2016. Mr. Champi serves as President and Chief Executive Officer. Mr. Champi is a member of the Bank’s Directors’ Loan Committee. Mr. Champi joined FNCB Bank in 1991 and has over 30 years banking experience. Mr. Champi is a 1982 graduate of Pennsylvania State University where he received a Bachelor of Science Degree in Accounting. Mr. Champi received his MBA from Wilkes University in 1989. Mr. Champi currently serves as President of the Northeastern Pennsylvania Council Boy Scouts of America; Lackawanna Blind Association board member; Saint Joseph’s Center board member; Past President of the Greater Pittston Chamber of Commerce Board of Directors; Past President of the Luzerne County Community College Foundation Board of Directors. Mr. Champi is a Penn State Worthington Scranton Campus Advisory Board Member and a lifetime member of Pennsylvania State University Alumni Association.

Louis A. DeNaples

Louis A. DeNaples is Chairman of the Board of FNCB Bancorp, Inc. (“Company”) and FNCB Bank. Mr. DeNaples is a member of the Bank’s Directors’ Loan Committee. Mr. DeNaples has been a director of the Bank since 1972 and previously served as Chairman of the Board of Directors of the Bank from 1988 and the Company from 1998 until he took a leave of absence from involvement with the Bank and the Company in February 2008. Mr. DeNaples resigned as a director of the Company effective May 12, 2012. Mr. DeNaples returned from the leave of absence in December 2013 to serve as a director of the Bank. On May 21, 2014 Mr. DeNaples was elected to the Board of Directors of the Company. Mr. DeNaples is President of DeNaples Auto Parts, Inc., President of Keystone Landfill, Inc., and Vice President of Rail Realty Corporation. Mr. DeNaples serves on the boards of AllOne Foundation, AllOne Charities, AllOne Health Resources, Allied Services Foundation, and Scranton Preparatory School. Mr. DeNaples serves as a citizen member on the Community Advisory Board for Geisinger Commonwealth School of Medicine. Mr. DeNaples is a past Chairman of the University of Scranton Board Of Trustees. Mr. DeNaples' extensive business background and years of community and charitable involvement qualifies him to serve as a director of the Company and the Bank.

(“Company”) and the Bank since 2013. Dr. DeNaples serves as a member of the Company’s Nominating and Governance, Risk Management and Compensation Committees. Dr. DeNaples serves on the Boards of Goodwill Industries of Northeastern Pennsylvania and Scranton Preparatory School. Dr. DeNaples practices emergency medicine at Geisinger-Community Medical Center in Scranton. Dr. DeNaples' understanding of the medical industry and considerable community and charitable involvement qualifies him to serve as a director of the Company and the Bank.

Joseph Coccia

Joseph Coccia is a Director of FNCB Bancorp, Inc. (“Company”) and FNCB Bank since July 1998. Mr. Coccia serves as Secretary of FNCB Bancorp, Inc. and the Bank since May 2015 and also serves as Chairman of the Company’s Risk Management Committee. Mr. Coccia serves on the boards of AllOne Charities and NEPA Highmark. Mr. Coccia also served on the LMDA Board. Mr. Coccia is President of Coccia Ford Lincoln, and President at Eastern Auto Exchange, Inc. Mr. Coccia's strong business background, knowledge of the automobile industry, and broad community involvement qualifies him to serve as a director of the Company and the Bank.

William G. Bracey

William G. Bracey is an Independent Director of FNCB Bancorp, Inc. (“Company”) and FNCB Bank since May 2014. Mr. Bracey is Chairman of the Compensation Committee and serves as a member of the Company’s Audit, and Nominating and Governance Committees. Mr. Bracey owns and operates two ShopRite Supermarkets, one in Daleville, Pennsylvania, and one in Mount Pocono, Pennsylvania, as well as several retail businesses including an Ace Hardware Store, two NAPA Auto Parts Stores, two Hallmark Gold Crown Stores, and Plociniak Fuel Services. Mr. Bracey is an active member of several business and community organizations, including a current board member and past Chairman of the Pennsylvania Food Merchants, current board member of Johnson College, past board member and Chairman of Affiliated Foods, past board member and Co-Chairman of Associated Wholesale and past board member of Scranton Preparatory School. Mr. Bracey attended Keystone College. Mr. Bracey’s 40 years of entrepreneurial and corporate management experience, a strong network of community relationships and partnerships and significant knowledge of the retail business climate in the region qualifies him to serve as a director of the Company and the Bank.

William P. Conaboy

William P. Conaboy, Esquire is an independent Director of FNCB Bancorp, Inc. (“Company”) and FNCB Bank since October 1, 2022. Attorney Conaboy also serves on the Audit and Risk Committees of FNCB. He currently serves as President and Chief Executive Officer for Allied Services Integrated Health System, a role he has held since 2009. Prior to his current position, he was Chief Operations Officer, Senior Vice President/General Counsel and Corporate Compliance Officer for Allied from 1992 – 2008. He graduated from Scranton Central High School (1976), the University of Scranton (B.S. 1980), and Dickinson School of Law (J.D., 1983) and is a proud veteran, having served in the United States Army. While attending the University of Scranton, Attorney Conaboy was awarded a four (4) year ROTC Scholarship and completed Infantry Airborne School in 1979. Before his career at Allied, he held positions as solicitor to various municipalities and authorities, as well as counsel to various corporations. He also had a general private practice as partner at Abrahamsen, Moran and Conaboy. Extremely active in the community, he has played a key advisory role on boards with numerous local organizations. He currently serves as Chairman, Northeast Regional Cancer Institute and is a member of the Board of Directors of the Pennsylvania Rehabilitation and Community Providers Association. He is a past Chairman and board member for the Lackawanna College Board of Trustees, and a past board member for the Regional Advisory Council of the Commonwealth Medical College, Scranton Chamber of Commerce, Northeast Pennsylvania Boy Scouts of America, Scranton Boys and Girls Club, Ronald McDonald House of Northeast Pennsylvania, and First National Community Bank.

Dominick L. DeNaples

Mr. Dominick L. DeNaples is a Director of FNCB Bancorp, Inc. (“Company”) and FNCB Bank. He was a director of the Bank from 1987 through May 15, 2019, and previously served as Vice Chairman of the Board of Directors of the Company and the Bank from December 2009 until he was elected Chairman in May 2010. He was reappointed as a director on February 1, 2023. Mr. DeNaples is President of Rail Realty Corporation, Vice President of DeNaples Auto Parts Inc. and Vice President of Keystone Sanitary Landfill, Inc. Mr. DeNaples formerly served as Chairman of the Board of Lackawanna College and is currently Chairman of the Finance Committee and a member of the Board of Trustees of Lackawanna College. Mr. DeNaples is also Chairman of the Board and Finance of St. Joseph’s Center and the St. Joseph’s Foundation. Mr. DeNaples organized and was elected as a member of the Audit Committees of St. Joseph’s Auxiliary, St. Joseph’s Foundation and St. Joseph’s Center. Mr. DeNaples serves on the Board of Geisinger Health Services, Hospice of the Sacred Heart, and also on the Advisory Board of Penn State University – Worthington Scranton. He formerly served as President of the Council and Chairman of Finance of the Northeastern Pennsylvania Council of Boy Scouts of America, and currently serves as a Board member. Mr. DeNaples also formerly served as Vice Chairman of the Board and Chairman of Finance of Scranton Preparatory School. Mr. DeNaples proudly served in the United States Army, Pennsylvania National Guard, and its elite Drill Team. Mr. DeNaples is a charter and Board member of Hospice of the Sacred Heart. Mr. DeNaples has been the recipient of numerous community and civic awards, including the Man of the Year Award of Lackawanna County and the Boy Scout of America’s Silver Beaver Award and the Boy Scout of America’s Annual Northeast Pennsylvania Distinguished Citizen Award. Joseph L. DeNaples, Esq.

Mr. DeNaples also serves as a member of the Compensation and Nominating & Governance Committees. Mr. DeNaples is a partner at the law firm of Cipriani & Werner, PC. and is Senior Counsel and Director of Risk Management for Mount Airy Resort & Casino. Mr. DeNaples focuses his practice in banking, commercial litigation, real estate development, gaming law, lending and bankruptcy. Mr. DeNaples also serves as Solicitor for both the Lackawanna County Sheriff's Office and the County of Lackawanna Transit System Authority. Mr. DeNaples previously clerked for the Honorable Trish Corbett at the Lackawanna County Court of Common Pleas and for the Honorable Correale Stevens at the Pennsylvania Superior Court. Mr. DeNaples is admitted to practice in Pennsylvania, as well as the U.S. District Court for the Middle District of Pennsylvania and the U.S. Bankruptcy Court for the Middle District of Pennsylvania. Mr. DeNaples is a member of the Lackawanna County Bar Association. Mr. DeNaples currently serves on the board at the Northeastern Pennsylvania Council Boy Scouts of America and Saint Francis of Assisi Kitchen. Mr. DeNaples is also a member of the Columbus Day Association of Lackawanna County. Atty. DeNaples is a graduate of Scranton Preparatory School, the University of Scranton with a Bachelor of Arts in History and Villanova University School of Law with a Juris Doctor.

Keith W. Eckel

Keith W. Eckel is an Independent Director of FNCB Bancorp, Inc. (“Company”) and FNCB Bank since 2014. Mr. Eckel is Chairman of the Directors’ Loan Committee and Nominating and Governance Committee, he also serves on the Company’s Audit, and Risk Management Committees. Mr. Eckel is the sole owner and CEO of Fred W. Eckel Sons and serves as President of Eckel Farms, Inc. Mr. Eckel is a past Chairman and member of the Board of Allied Group Inc., a subsidiary of Nationwide Mutual Insurance Company, and is a past Board Chairman of Nationwide Mutual Insurance Company, a Fortune 100 insurance provider. Mr. Eckel previously served on the Board for International Food and Agricultural Development, which advises the U.S. Agency for International Development on agricultural priorities and issues. He is the former President of the Pennsylvania Farm Bureau. Mr. Eckel was also a member of the Board of Directors and Chairman of Gartmore Global Asset Management Trust, and he is an emeritus trustee of Pennsylvania State University. Mr. Eckel attended Keystone Junior College, Dickinson College and Penn State University. Mr. Eckel is highly knowledgeable in all aspects of agribusiness. Mr. Eckel’s strong business background, extensive understanding of the insurance industry, and community and charitable involvement qualifies him to serve as a director of the Company and the Bank.

Kathleen McCarthy Lambert, CPA

Kathleen McCarthy Lambert, CPA is an Independent Director of FNCB Bancorp, Inc. (“Company”) and FNCB Bank since 2017. Mrs. Lambert also serves as a member of the Company’s Audit, Risk Management and Directors’ Committees. Mrs. Lambert is an owner of McCarthy Tire Service Company and subsidiaries where she serves as Chief Financial Officer and Corporate Secretary. Mrs. Lambert also currently serves on a number of boards including Vice Chairman of the Board, King’s College; Chairman of the Board, Wilkes-Barre General Hospital; Chairman of the Board, Northeast Sight Services; Scranton Diocesan Finance Council, Beatrice Eck Foundation, and the Greater Wilkes-Barre Chamber of Business and Industry. In addition to her board memberships, she is actively involved in fundraising activities for numerous non-profit organizations, including the United Way, American Heart Association, St. Vincent DePaul Soup Kitchen, King’s College, the Catholic Youth Center, Holy Redeemer High School, John Heinz Rehab, Big Brothers/Big Sisters and Volunteers in Medicine. Mrs. Lambert is a past recipient of the Athena Award and Top 25 Business Women in NEPA award. Mrs. Lambert is a graduate of King’s College with a Bachelor of Science degree in Accounting and Business Administration and is a Certified Public Accountant.

Thomas J. Melone, CPA

Thomas J. Melone, CPA, is an Independent Director of FNCB Bancorp, Inc. (“Company”) and FNCB Bank since 2011. Mr. Melone serves as a member of the Company’s Compensation and Nominating and Governance Committees, and is Chairman of the Audit Committee. Mr. Melone also serves on the Bank’s Directors’ Loan Committee. Mr. Melone is a partner in the Albert B. Melone Company Certified Public Accountants, a leading provider of accounting, tax and consulting services throughout the Northeastern Pennsylvania region. Mr. Melone leads the firm’s Tax Preparation and Advisory Services line as well as its Small Business Advisory and Consulting Services business line. Additionally, Mr. Melone has extensive experience in the financial management of public school districts operating in the Commonwealth of Pennsylvania. Mr. Melone is an active member of several professional, business and community organizations including the American Institute of Certified Public Accountants (AICPA), Pennsylvania Institute of Certified Public Accountants (PICPA) and the Allied Services Board, specifically serving as Chairman of the Allied Services Institute of Rehabilitation Medicine and the John Heinz Institute of Rehabilitation Medicine, and as Vice Chairman of the Allied Services Foundation. Previously, Mr. Bone was Executive Vice President and Chief Information Officer from May 2010 to August 2012 and First Senior Vice President and Administrative Services Division Manager from July 2000 to April 2010. Mr. Bone has been with the Bank since 1986 and has served in various leadership roles in Finance, Retail and Commercial Sales, Compliance, Operations and Technology and Internal Audit. Mr. Bone is a licensed Certified Public Accountant and is an active member of several professional, business and community organizations including the American Institute of Certified Public Accountants and Pennsylvania Institute of Certified Public Accountants. Mr. Bone is a former member of the Issuer Advisory Council of the OTCQX and a former member of the Advisory Board for the Federal Home Loan Bank of Pittsburgh. Mr. Bone is also active in the community with King’s College and currently serves as Vice President of Finance and Board Member of the Northeastern Pennsylvania Council Boy Scouts of America.

James F. Burke

Mr. Burke joins FNCB with more than 27 years of managerial and sales experience in banking. Prior to joining the Bank, he was the Executive Vice President, Chief Lending Officer at Wayne Bank from December 2014 to February 2021 where he was responsible for the overall sales, service, and operations of the Commercial Banking Division in Pennsylvania and New York. Mr. Burke currently serves as Vice-Chairperson to Jay S. Sidhu School of Business and Leadership Executive Advisory Board at Wilkes University.

James Chiaro

Mary Griffin Cummings, Esq.

Ms. Mary Griffin Cummings is Executive Vice President and General Counsel of the Bank, a position she has held since October 1, 2012. Prior to joining the Bank, she was Associate General Counsel, Resident Counsel and General Counsel for Wyoming Valley Health Care System, Inc. (“WVHCS”), a large health care system previously located in Wilkes-Barre, Pennsylvania, from May 2000 to May 2009. From May 2009 through October 2012, Ms. Cummings practiced law both in her own private practice and for Wyoming Valley Health and Education Foundation and WVHCS Retention Company. Ms. Cummings is a licensed attorney and admitted to practice law in the Courts of the Commonwealth of Pennsylvania and the United States District Court for the Middle District of Pennsylvania. She is a member of the Wilkes-Barre Law and Library Association and the Pennsylvania Bar Association. Ms. Cummings serves on the Board of Directors of the Pennsylvania Bankers Association. Ms. Cummings serves as Chair and Board member of the Catherine McAuley Center, Scranton, PA and Vice-Chair and Board member of the McGlynn Learning Center, Wilkes-Barre, PA. Ms. Cummings also serves on the Northeastern PA Board of Directors of the American Red Cross.

Aaron J. Cunningham

Aaron J. Cunningham is Executive Vice President and Chief Credit Officer of the Bank, a position he has held since June 7, 2018. Prior to joining the Bank, he was employed by Penns Woods Bancorp, Inc., a bank holding company operating Jersey Shore State Bank and Luzerne Bank. He served as Senior Vice President and Chief Credit Officer of Penns Woods Bancorp, Inc. from November 2015 through May 2018, and Vice President/Credit Department Manager from 2010 through November 2015. In total, he has nearly 25 years banking experience in various roles. Mr. Cunningham served in various leadership roles with Leadership Lycoming, Habitat for Humanity and Valley Prevention Services, and contributed as a business partner with Lock Haven University’s Business Program when he resided in Central Pennsylvania.

Brian C. Mahlstedt

Mr. Mahlstedt first joined the Bank in 1999 and served as Senior Vice President and Commercial Loan Officer until 2009. From 2011 to September 2013, when he rejoined the Bank, Mr. Mahlstedt was a Senior Vice President, Senior Commercial Loan Officer at Wayne Bank. Mr. Mahlstedt also served as Vice President, Senior Loan Officer at Pennstar Bank from 2009 to 2011.

Richard D. Drust

Prior to joining the Bank in 2012, Ms. Westington was Director of Finance for Physicians Health Alliance, a physician’s group that was a member of the former Moses Taylor Health Care System. Ms. Westington is a licensed Certified Public Accountant and has previous banking experience from her time as Vice President of Finance at the former Community Bank and Trust Company and Assistant Vice President and Controller at the former LA Bank, N.A. Ms. Westington currently serves as President of the Board of Trustees of the Howard Gardner Multiple Intelligence Charter School.

Ms. Donna Yanuzzi is Senior Vice President, Director of Equipment Finance where she is responsible for the sales, marketing, and profitability of the equipment finance division. Prior to joining the Bank in 2021, she spent 24 years in equipment sales and financing holding various administrative and marketing roles leading up to the Managing Director of Sales and Marketing role. She is a member of the Equipment Leasing and Finance Association (ELFA), serves as a Trustee of the Equipment Leasing and Finance Foundation (ELFF) and was named among the 2020 Top 50 Women in Equipment Finance in “The Monitor” (National industry publication).
